EVA Law successfully advised and represented Turner Morrison Limited in its investment in Distinct Origins Private Limited (Manam Chocolates), a group entity of Almond House. Alongside Turner Morrison Limited, the investment round included participation from several investors, including Omnivore Agritech & Climate Sustainability Fund 3. Distinct Origins is engaged in the manufacturing and sale of chocolates, patisserie, and related businesses, along with agricultural procurement, trading, and post-harvest processing cacao bean.

The EVA team was involved in negotiations, reviewing, and finalizing transaction documents, and provided assistance throughout the closing process.

We are delighted to share that EVA Law successfully advised and represented the founders of Velocitypedia Private Limited (CarInfo Group) in connection with acquisition of 100% stake of CarInfo by Cars24 Services Private Limited. CarInfo is a leading player in the automotive service provider offering a comprehensive online vehicle management system, and this transaction marks a significant milestone in its growth journey.

The transaction involved a series of documentation such as a business transfer agreement, share purchase agreement and employment contracts of the founders, amongst others. Our team provided comprehensive assistance to the CarInfo entities and founders right from documentation until the closing.

We are delighted to share that EVA Law successfully advised and represented Dura Build Care Private Limited in connection with acquisition of a majority stake by Somany Ceramics Limited in the Company. Dura Build is a leading player in the construction chemicals manufacturing space, and this transaction marks a significant milestone in its growth journey.

      EVA Law represented Express Ventures Private Limited in relation to the acquisition of the catering services business of Siva Sai Catering by way of a slump sale, through the execution of a business transfer agreement. The transaction also involved the issuance of shares of EVPL to the seller as part of the consideration. EVA was engaged for drafting, reviewing, and finalizing the transaction documents, and for assistance with the closing of the transaction.

EVA Law represented a group entity of Modi Enterprise in forming a joint venture with L'Objet IOM Ltd. The EVA team was involved in drafting, negotiating and finalization of the Joint Venture Agreement. Additionally, the EVA team was also involved in the negotiations of the Distribution & License Agreement pursuant to which the license to use the brand ‘L’Objet’ is granted to the JV company. The JV company will focus on retail sales of L’Objet-branded goods through a unified brand of retail stores, e-commerce platforms, and direct-to-consumer operations.

EVA Law represented Voith Turbo Private Limited, a group entity of The Voith Group, in its acquisition of Fluid Logic Systems Private Limited. The EVA team was involved in conducting comprehensive legal and real estate due-diligence, negotiating the terms of the deal, and reviewing and finalizing the transaction documents. Additionally, the team provided support throughout the closing and post-closing stages of the transaction.

Fluid Logic Systems Private Limited is engaged in designing, manufacturing, selling, and distributing hydraulic power packs and hydraulic manifolds for industrial applications.

EVA Law represented the Founders of Fortunea Infrastructure LLP and and its lenders in a restructuring exercise involving the induction of new partners and recasting the debt. Fortunea is engaged in the development of a mixed use real estate project.

EVA Law represented Mozaiq Automation Private Limited, a company specializing in artificial intelligence to develop a leading AI-powered mortgage origination back-office solution, in executing and finalizing a lease deed with AIHP Palms for an office located at Gurugram. This new office space has a seating capacity for over 300 employees.

EVA Law advised Knifedge Lab Technologies Private Limited, a pioneering entity in the realm of drone and data analytics services for project lifecycle management using cloud-based platform operating under the brand BetterDrones, on a fundraise from certain angel investors.

EVA Law advised Specialist Computer Centres plc (Specialist) on the India leg of its global acquisition of Resonate-UCC Holdings Limited (along with its subsidiaries). Specialist is a global IT company that enables business agility and transformation through innovative managed IT services and solutions. EVA Law’s scope of work included undertaking due diligence on the Indian subsidiary, providing inputs on the global transaction documents which related to the Indian subsidiary and completion assistance on matters relating to the Indian subsidiary (i.e. filings at India level).
